# Assist Mi Legal Terms of Service

## 1. Agreement
These Terms of Service ("Terms") govern access to and use of the
Assist Mi Legal platform and related services (collectively, the
"Services").
These Terms constitute a legally binding agreement between Assist
Mi Legal ("Company," "we," "our," or "us") and the individual or
organization accepting these Terms ("Customer," "you," or "your").
If you are accepting these Terms on behalf of an organization, you
represent that you have authority to bind that organization.
## 2. Definitions
Account
A registered user account within the Services.
Tenant
An organization, law firm, legal practice, or business entity utilizing
the Services.
User
Any individual authorized to access the Services under a Tenant.
Client Data
Any information, documents, communications, files, emails,
metadata, or content submitted to the Services by Customer or its
Users.
AI Services
Any artificial intelligence, machine learning, automation, drafting,
classification, summarization, recommendation, or assistant
functionality made available through the Services.
Ava
The AI assistant functionality provided by Assist Mi Legal.
Connected Services
Third-party platforms integrated with the Services, including but not
limited to Microsoft 365, Google Workspace, QuickBooks, Clio,
SharePoint, Dropbox, Box, Zoom, Teams, and similar services.
## 3. License Grant
Subject to these Terms and payment of applicable fees, Company
grants Customer a limited, non-exclusive, non-transferable,
revocable license to access and use the Services during the
applicable subscription term.
No ownership rights are transferred under these Terms.
All rights not expressly granted are reserved.
## 4. Subscription Plans
The Services may be offered under various subscription plans,
including:
Standard
Professional
Enterprise
Trial or Beta Programs
Features, usage limits, integrations, and functionality may vary by
subscription plan.
Company may modify plan offerings from time to time.
## 5. Customer Responsibilities
Customer is responsible for:
Maintaining account security
Managing user access
Protecting credentials
Ensuring authorized use
Compliance with applicable laws
Compliance with professional obligations
Customer is responsible for all activity occurring under its accounts.
## 6. User Responsibilities
Users agree not to:
Violate applicable laws
Interfere with platform operations
Circumvent security controls
Attempt unauthorized access
Upload malicious software
Use the Services for unlawful purposes
Reverse engineer the Services except where prohibited by law
## 7. Client Data Ownership
Customer retains all ownership rights in Client Data.
Company does not acquire ownership of Client Data.
Customer grants Company a limited right to process Client Data
solely as necessary to:
Provide Services
Maintain Services
Improve platform functionality
Support integrations
Deliver requested features
Except as otherwise described in applicable agreements or law,
Company will not sell Customer Client Data.
## 8. AI Services
The Services include AI-powered functionality.
Customer acknowledges:
AI output may be inaccurate.
AI output may be incomplete.
AI output may require validation.
AI output is not legal advice.
Human review is required.
Use of AI functionality is additionally governed by the Assist Mi
Legal AI Use Policy.
## 9. Attorney Responsibility
Nothing in the Services replaces the professional judgment of an
attorney.
Attorneys remain solely responsible for:
Legal advice
Legal strategy
Client communications
Court filings
Ethical compliance
Professional supervision
The Services are intended to assist legal professionals and not
replace them.
## 10. Email Assistant Services
The Services may include email-based assistant functionality.
Customer authorizes the platform to:
Process emails
Categorize communications
Generate drafts
Create tasks
Organize matters
Facilitate workflow automation
Customer remains responsible for supervising use of these
capabilities.
Additional terms may apply to Email Assistant functionality.
## 11. Connected Services
Customer may choose to connect third-party services.
Company is not responsible for:
Third-party availability
Third-party outages
Third-party policy changes
Third-party security incidents
Third-party data loss
Customer's use of third-party services remains subject to those
providers' terms.
## 12. Fees and Payment
Customer agrees to pay all applicable subscription fees.
Unless otherwise specified:
Fees are billed in advance.
Fees are non-refundable.
Taxes are Customer's responsibility.
Failure to pay may result in suspension.
Company may change pricing upon reasonable notice.
## 13. Trial and Beta Services
Company may offer trial, preview, or beta functionality.
Beta services:
May be incomplete
May contain defects
May change without notice
May be discontinued
Beta services are provided on an "as-is" basis.
## 14. Availability
Company will use commercially reasonable efforts to maintain
service availability.
Company does not guarantee uninterrupted operation.
Maintenance, upgrades, outages, security incidents, and third-party
failures may impact availability.
## 15. Security
Company will implement commercially reasonable administrative,
technical, and organizational safeguards designed to protect Client
Data.
No security system is perfect.
Customer acknowledges that internet-based services involve
inherent risks.
## 16. Confidentiality
Each party agrees to protect confidential information disclosed by
the other party using reasonable care.
Confidential information does not include information that:
Is publicly available
Was already known
Is independently developed
Is lawfully obtained from a third party
## 17. Intellectual Property
Company retains all rights, title, and interest in:
Services
Software
Documentation
Workflows
User interfaces
Models
Platform improvements
No ownership rights are transferred to Customer.
## 18. Feedback
Customer may provide suggestions, ideas, recommendations, or
feedback.
Company may use such feedback without restriction or
compensation.
## 19. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY
DISCLAIMS ALL WARRANTIES, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
COMPANY DOES NOT WARRANT THAT THE SERVICES WILL
BE ERROR FREE.
## 20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
COMPANY SHALL NOT BE LIABLE FOR:
INDIRECT DAMAGES
INCIDENTAL DAMAGES
SPECIAL DAMAGES
CONSEQUENTIAL DAMAGES
LOST PROFITS
LOST REVENUE
LOST BUSINESS OPPORTUNITIES
COMPANY'S TOTAL LIABILITY ARISING FROM THE SERVICES
SHALL NOT EXCEED THE FEES PAID BY CUSTOMER DURING
THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE
TO THE CLAIM.
## 21. Indemnification
Customer agrees to defend, indemnify, and hold harmless Company
from claims arising from:

Customer misuse
Violation of law
Violation of professional obligations
Unauthorized use
## 22. Suspension
Company may suspend access when reasonably necessary to:
Protect the platform
Address security concerns
Prevent abuse
Comply with legal obligations
Enforce these Terms
## 23. Termination
Either party may terminate access as permitted under the applicable
subscription agreement.
Upon termination:
Access may be disabled.
Data retention policies may apply.
Certain obligations survive termination.
## 24. Governing Law
These Terms shall be governed by the laws of the State of
California without regard to conflict of law principles.
## 25. Dispute Resolution
The parties agree to attempt good faith resolution of disputes prior to

subscription, or using the Services, Customer agrees to be bound

Customer is responsible for:
Reviewing requested permissions
Understanding permission scopes
Managing connected accounts

Revoking access when appropriate
Customer should only connect services for which it possesses
appropriate authority.
## 5. Permission Scopes
Connected Services may provide access to:

Documents
Matters

Assist Mi Legal accesses only information authorized by Customer
and supported by the integration.
## 6. Synchronization Activities
Connected Services may be used to:

Synchronization may be manual, scheduled, or event-driven.
## 7. Third-Party Terms

QuickBooks terms
Other applicable provider terms
Nothing in this Agreement modifies Customer's obligations to those

content stored within the platform are private from authorized
organizational administrators.

Users agree to promptly report:

Security incidents
Unauthorized access
Data exposure concerns
to their organization and, where appropriate, Assist Mi Legal.
## 17. Changes
Assist Mi Legal may update this User Agreement from time to time.
Continued use of the platform following an update constitutes
acceptance of the revised agreement.
## 18. Acceptance
By accessing or using Assist Mi Legal, I acknowledge and agree
that:
1. I am responsible for activity performed using my account.
2. I will protect confidential information.
3. I will comply with applicable laws and policies.
4. I will review AI-generated content before relying upon it.
5. I understand that attorneys remain responsible for professional
judgment and legal advice.

Assist Mi Legal provides artificial intelligence-powered features
designed to assist attorneys, legal professionals, and support staff
with administrative, organizational, communication, and productivity
tasks.
These features include, but are not limited to:
Matter organization
Email processing
Draft generation
Task creation
Calendar assistance
Time tracking assistance
Document summarization
Research assistance
Workflow automation
AI assistant interactions through chat, email, and other
communication channels
This AI Use Policy governs the use of all AI-powered functionality
provided by Assist Mi Legal.
## 2. No Legal Advice
Assist Mi Legal is a software platform and is not a law firm.
Neither Assist Mi Legal nor its AI assistant, Ava, provides legal
advice.
All content generated by the platform is provided for informational
and productivity purposes only.
Users are solely responsible for determining whether any output is
accurate, appropriate, complete, legally sufficient, ethically
permissible, or suitable for a particular matter or client.
## 3. Attorney Responsibility
Attorneys remain solely responsible for:
Legal analysis
Professional judgment
Legal advice
Court filings
Client communications
Compliance with applicable rules of professional conduct
Compliance with court rules
Compliance with applicable laws and regulations
The use of AI assistance does not transfer or reduce any
professional responsibility owed by an attorney to a client, court,
regulator, opposing party, or third party.
## 4. Human Review Requirement
Users must independently review all AI-generated output before
relying upon it.
Users should not assume that any output generated by the platform
is:
Accurate
Complete
Current
Legally correct
Suitable for filing
Suitable for client delivery
All AI-generated content should be treated as a draft requiring
human review.
## 5. Hallucinations and Errors
Artificial intelligence systems may generate information that is:
Incorrect
Incomplete
Misleading
Outdated
Fabricated
Unsupported by authority
Users acknowledge that AI systems may produce statements,
citations, facts, legal authorities, dates, quotations, case references,
or conclusions that are inaccurate or entirely fictional.
Users agree to independently verify all information before relying
upon it.
## 6. Client Confidentiality
Users remain responsible for determining whether information
entered into the platform may appropriately be processed using
Assist Mi Legal.
Users are responsible for:
Protecting confidential information
Protecting privileged information
Complying with professional obligations
Obtaining any required client consent
Evaluating the suitability of cloud-based processing
Nothing in this policy constitutes legal advice regarding
confidentiality obligations or attorney-client privilege.
## 7. AI Assistant Authorization
By enabling Ava or other AI-powered assistants within Assist Mi
Legal, the organization authorizes the platform to perform
automated processing on its behalf, including:
Categorizing communications
Organizing matters
Drafting responses
Creating tasks
Creating reminders

Continued use of AI-powered functionality following an updated

By enabling or using AI-powered functionality within Assist Mi
Legal, the user acknowledges and agrees that:

responsibility to the platform or its providers.

Assisted by the platform

Attorneys remain solely responsible for all filings submitted to
courts, agencies, arbitrators, regulators, and tribunals.
Attorneys agree to independently review all filings prior to

## 11. Deadlines and Calendaring
The platform may assist with:

Attorneys remain responsible for:

2. I remain responsible for client representation.
3. I remain responsible for protecting confidential information.

5. I will independently verify legal authorities and legal
conclusions.
6. I will not rely exclusively on AI-generated content.
7. I remain responsible for all legal advice, filings, and client

These Email Assistant Terms ("Email Terms") govern the use of
email-based assistant functionality provided by Assist Mi Legal.

AI Use Policy.
In the event of a conflict, the Terms of Service shall control unless
otherwise specified.
## 2. Email Assistant Services
Assist Mi Legal may provide one or more AI-powered email
assistants, including Ava and other future assistant configurations.
The Email Assistant Services may:
Receive emails
Analyze email content
Categorize communications
Associate communications with matters
Create tasks
Create reminders
Generate summaries
Draft responses
Suggest actions
Facilitate workflow automation
Interact with Connected Services
The Email Assistant Services are intended to assist users with
productivity and workflow management.
## 3. Authorization
By enabling Email Assistant Services, Customer authorizes Assist
Mi Legal to process communications submitted to the platform or
received through configured assistant mailboxes.
Customer authorizes automated processing for purposes including:
Communication analysis
Matter organization
Draft generation
Workflow execution
Request fulfillment
Administrative assistance
This authorization remains effective until disabled by Customer.
## 4. Assistant Mailboxes
The platform may provide dedicated assistant mailboxes.
Examples include:

Messages received through assistant mailboxes may be processed
automatically.
## 5. Communications Sent to the Assistant

Used to generate drafts and workflows
Users should exercise appropriate judgment when transmitting

## 6. Communications Sent by the Assistant
The platform may:

Customer remains solely responsible for:
Reviewing communications
Approving communications
Determining recipients
Determining legal appropriateness
Determining factual accuracy
No communication generated by the assistant should be assumed
accurate without review.
## 7. Review Workflows
The platform may provide approval workflows.

Supervisor approval workflows
Customer is responsible for configuring and utilizing review
workflows appropriate to its operations.
Assist Mi Legal does not guarantee that review workflows will be
enabled or properly configured.
## 8. Automated Actions
Customer may choose to enable functionality allowing the assistant
to perform actions automatically.
Examples include:
Creating tasks
Creating reminders
Updating matters
Organizing documents
Scheduling activities
Synchronizing systems
Customer assumes responsibility for any automation settings
selected.
## 9. Client Communications
Customer remains solely responsible for all client communications.
Nothing in the platform shall be construed as:
Legal advice
Professional judgment
Client representation
Attorney supervision
The assistant is a software tool and not a legal professional.
## 10. Attorney-Client Privilege
Assist Mi Legal is designed to support legal professionals.
Customer acknowledges that:
Privilege determinations are legal decisions.
Confidentiality determinations are legal decisions.
Ethical obligations remain the responsibility of attorneys.
Assist Mi Legal does not provide legal advice regarding attorneyclient privilege, confidentiality, waiver, disclosure, or ethical
obligations.
Customer is solely responsible for determining whether use of the
Services is appropriate for a particular matter or communication.
## 11. Matter Assignment
The assistant may automatically:
Create matters
Suggest matters
Assign communications to matters
Associate contacts with matters
Customer remains responsible for verifying all assignments.
Matter associations generated by the assistant may contain errors.
## 12. Workflow Execution
The assistant may attempt to fulfill requests identified within
communications.
Examples include:
Creating tasks
Scheduling reminders
Generating documents
Producing summaries
Updating records
Requested actions may be misunderstood, partially completed,
incorrectly completed, or not completed.
Users should independently verify all outcomes.
## 13. Connected Services
Email Assistant Services may interact with Connected Services.
Examples include:
Microsoft 365
Google Workspace
Clio
QuickBooks
SharePoint
Document repositories
Calendar systems
Company is not responsible for failures originating from Connected
Services.
## 14. Accuracy Disclaimer
The assistant may:
Misinterpret instructions
Misidentify requests
Misclassify matters
Draft inaccurate responses
Omit relevant information
Customer acknowledges these limitations and agrees to
independently review outputs.
## 15. Monitoring and Logging
To provide Services, Company may maintain logs relating to:
Email processing
Workflow execution
Assistant actions
System activity
Audit records
Such records may be used for security, troubleshooting, compliance,
and service improvement purposes.
## 16. Suspension
Company may suspend Email Assistant functionality if necessary
to:
Protect system integrity
Address abuse

## 17. Limitation of Liability
Email Assistant functionality is provided on an "as available" basis.
Company makes no representation that:
Messages will be processed correctly.
Requests will be completed.

Customer assumes responsibility for supervising all assistant
activities.
## 18. Acceptance
By enabling Email Assistant functionality, Customer acknowledges

5. Customer remains responsible for all professional obligations.
6. Attorneys remain responsible for legal advice, filings, strategy,

Customer further authorizes Assist Mi Legal to operate configured

This Master Services Agreement ("Agreement" or "MSA") is entered
into between Assist Mi Legal ("Provider") and the customer
identified in the applicable Order Form ("Customer").
This Agreement governs Customer's access to and use of the
Services.
## 1. Scope
This Agreement establishes the terms under which Provider will
deliver software and related services to Customer.
Services may include:
Matter management
Email management
AI assistant services
Document management
Workflow automation
Reporting
Time tracking
Billing support
Integrations
Related functionality
Specific services purchased by Customer are identified in the
applicable Order Form.
## 2. Order Forms
Services are purchased through one or more Order Forms.
Each Order Form shall specify:
Subscription term
Licensed users
Service tier
Pricing
Included services
Special terms
Each executed Order Form becomes part of this Agreement.
## 3. License Grant
Subject to compliance with this Agreement and payment of
applicable fees, Provider grants Customer a limited, non-exclusive,
non-transferable right to access and use the Services during the
applicable subscription term.
All rights not expressly granted are reserved.
## 4. Customer Data
Customer retains ownership of Customer Data.
Provider acquires no ownership rights in Customer Data.
Customer grants Provider the limited rights necessary to:

Perform support

## 5. Acceptable Use
Customer shall not:
Violate applicable law
Circumvent security controls
Interfere with platform operations

Provider provides technology services only.

Practice law

## 8. Email Assistant Services
Customer may enable Email Assistant functionality.
Email Assistant functionality is governed by the Email Assistant

Customer remains responsible for supervision of communications
and workflows.
## 9. Security
Provider shall maintain a security program designed to protect
Customer Data.
Security practices are described in the Security Addendum.
Provider may modify security controls provided that overall security
objectives are maintained.
## 10. Privacy and Data Processing
Processing of Personal Data shall be governed by:

Applicable law

## 11. Confidentiality
Each party agrees to protect Confidential Information using
reasonable care.
Confidential Information shall be used only:

Was already known
Is independently developed
Is lawfully received from another source
## 12. Fees and Payment
Customer shall pay fees specified in applicable Order Forms.
Unless otherwise stated:
Fees are due in advance.
Fees are non-refundable.
Taxes are Customer's responsibility.
Late payments may result in suspension.
## 13. Subscription Term
Subscriptions continue for the period identified in the applicable
Order Form.
Renewal terms may be specified in the Order Form.
## 14. Support
Provider shall provide support according to the support level
associated with Customer's subscription.
Support levels may be described in:

Support exhibits
Order Forms
## 15. Availability
Provider will use commercially reasonable efforts to maintain
availability of the Services.
Provider does not guarantee uninterrupted operation.
Maintenance, outages, third-party failures, and security events may
affect availability.
## 16. Warranties
Provider warrants that Services will be provided in a professional
and workmanlike manner.
Except as expressly stated, Services are provided "as-is."
All implied warranties are disclaimed to the maximum extent
permitted by law.
## 17. Intellectual Property
Provider retains all ownership rights in:

Documentation
Workflows
Interfaces
Platform enhancements
Service improvements
Customer retains ownership of Customer Data.
## 18. Feedback
Customer may provide feedback regarding the Services.
Provider may use feedback without restriction or compensation.
## 19. Indemnification by Customer
Customer shall defend and indemnify Provider against claims

Violation of law

## 20. Indemnification by Provider
Provider shall defend Customer against third-party claims alleging
that the Services infringe valid intellectual property rights.

## 21. Limitation of Liability
To the maximum extent permitted by law:
Neither party shall be liable for:
Indirect damages
Consequential damages

Provider's aggregate liability shall not exceed fees paid by
Customer during the twelve months preceding the claim.

## 22. Suspension

## 26. Force Majeure

This Agreement shall be governed by the laws of the State of
California, excluding conflict of law principles, unless otherwise

## 28. Dispute Resolution
The parties agree to attempt good-faith resolution of disputes before
pursuing litigation.

Order Form.
## 29. Entire Agreement
This Agreement, together with all incorporated exhibits and Order
Forms, constitutes the entire agreement between the parties.

In the event of conflict:

## 3. No Production Warranty

## 7. Data Processing
Assist Mi Legal will use commercially reasonable efforts to protect
Customer data.

Customers should exercise appropriate judgment when uploading

## 8. AI Functionality
Beta Services may include experimental AI-powered functionality.
Such functionality may:
Produce inaccurate results
Generate incomplete outputs
Misclassify information
Misinterpret requests
Customer agrees to independently review all outputs.
## 9. No Reliance
Customer agrees not to rely solely upon Beta Services for:
Legal advice
Deadline calculations
Court filings

## 10. Support

not obligated to provide any minimum level of support.

This Data Processing Addendum ("DPA") forms part of the Assist Mi
Legal Terms of Service, Enterprise Agreement, or other governing
agreement between Customer and Assist Mi Legal.
This DPA applies whenever Assist Mi Legal processes Personal
Data on behalf of Customer.
## 1. Definitions
Customer
The organization subscribing to the Services.
Controller
The entity that determines the purposes and means of processing
Personal Data.
Processor
The entity processing Personal Data on behalf of a Controller.
Personal Data
Information relating to an identified or identifiable individual.
Processing
Any operation performed on Personal Data, including collection,
storage, organization, retrieval, disclosure, transmission, deletion, or
destruction.
Subprocessor
A third party engaged by Assist Mi Legal to support delivery of the
Services.
## 2. Roles
Customer acts as Controller of Personal Data submitted to the
Services.
